Terms and Conditions of the Agreement for HPN Club

In this agreement Independent Associate means the person named in this agreement.

In Case, if any agreement terminates between HPN Club & Privileged Discounted Organization. No objection can be raised by any Independent Associate.

The HPN Club reserves the right to apply or modify any administration service and processing charges at its sole discretion at any point of time.

This agreement constitutes the entire contract between HPN Club and myself. Any promise, representation, offer or other communication not expressly set forth in this agreement is not of no force or effect.

In the event that a provision of this agreement is held to be invalid or enforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the balance of the agreement will remain in full force and effect.

Participation of any Independent Associate as an IA will not violate any contract or agreements entered into by me with third parties. I indemnify the HPN Club from any and all actions that may be taken against the HPN Club in this behalf.

Registration Process

Any person can apply for membership of HPN Club and can get products, but he/she can work for business plan only when He/She is 18 Years old and above.

Application is open to only individuals, No partnership is allowed.

He/She must not have convicted of any crime be insolvent and should be mentally sound and capable to carry out the business of he is coming for Business.

Incentive Cheque will be issued or transferred to your bank account when it will be more than Rupees 1000/- (ONE THOUSAND).Otherwise It will be your balance with HPN Club.

Suspension/Termination

In case of breach of any terms and conditions of HPN Club, the HPN Club will terminate the independent Associate of the defaulting independent Associate without having to enter into legal preceding to require such termination or giving any notice to the independent Associate regarding the same.

Misconduct : The HPN Club reserves the right to suspend and/or terminate the independent Associate or any time if the HPN Club's policies, terms & conditions etc as may be amended from time to time, are not complied with or are violated by the independent Associate or on account of misconduct which may be defined as or more of the following :

Using Club's network for marketing other products that are not officially carried by the HPN Club.

Selling to independent Associate belonging to other lines of sponsorship.

Providing false or misleading information about Club's policies.

Work adversely or against the interest of the Club.

Spreading rumors or inferring with other networks or interfering in the normal conduct of the business.

Status of Terminated Independent Associate - Terminated Independent Associate shall not represent himself/herself as a independent Associate, purchase products from the HPN Club under any commission plan, receive any discount, bonuses, awards or to be eligible to attend Club functions, Voluntary resignation of an independent Associate result in loss of rights to his/her group's business. Independent Associate irrespective of suspension/termination shall make good all losses/damages suffered by the Club on account of his misrepresentation or misconduct, the extent of which will be decided by the Club.
In case of any violation of terms and conditions of the HPN Club, Incentive of the Independent Associate will not be given to that defaulter.

Territorial Exclusivity - There are no exclusive territories granted by the Club. Therefore the Independent Associate have no authority to grant, sell, assign or transfer such territory to any of his/her down line, Every Independent Associate is free to conduct his/her business in any area of the country.

HPN Club Rights - The HPN Club reserves the right to make any changes to the content, description, the range of products, including any changes, in the marketing strategy, Sales and Marketing Plan, prices, policies and procedures from time to time.

Final Authority - The business head shall be the final authority on interpretation of the HPN Club policies.

Dispute - This agreement will be governed by and constructed in accordance with the laws of state Punjab and all disputes arising out of this agreement shall be subject to the exclusive jurisdiction of courts in Ludhiana.

By entering My PAN number on this Independent Associate Application and Agreement, I certify that this number is my correct tax payer identification number. I understand that any international misrepresentation of any information I provide in this Associate Application and Agreement may result in action by HPN Club, up to and including termination of this Agreement.

HPN Club has the right to change the guidelines given here for termination of the suspected associate without any prior notice. All decisions/judgements made by the HPN Club authorities shall be final and applicable to all the associates.

Responsibilities of an Independent Associate

All independent Associates of HPN Club will operate from facility of their own and as per time suitable to them.

Independent Associate do not have the authority to bond the Club to any obligation, agreement or commitment of any kind. The independent Associate must not at any time, in any manner, suggest or imply the he/she is not in employment, in joint venture, an agent or a legal Associate of the HPN Club.

When presenting the HPN Club business opportunity to others, He/She must emphasize that it involves running an independent business and is not an offer of employment and does not guarantee any income that is not commensurate with the me and effort put in by the Independent Associate.

Any titles or designations accorded to the independent Associate or HPN Club as well as recognition status accorded to the independent Associate will be merely a recognition of business done by him/her and do not alter in any way his/her primary relationship with the Club as an "Independent Associate".

The independent Associate will be responsible for their decisions and expenditure incurred by him/her. The HPN Club will not be responsible for any loss, lost, cost claimed or liability in the respects.

The independent Associate is not entitled to any payment for training or aid given by him/her to any other independent Associate.

Reports on down line sales and network structure is proprietary and confidential and is the property of the HPN Club and when made available to the independent Associate, is in strict and complete confidence for their own and privileged information only and not to be enclosed to any third party.

The independent Associate will not use HPN Club's network for marketing any products or schemes directly or indirectly, which are not officially proposed and circulated by the HPN Club.

The independent Associate will indemnify and keep the HPN Club indemnified from and against any claim, loss, damage or liability suffered or incurred by the HPN Club resulting from a breach of the agreement or the policy by the independent Associate or from any act of neglect or default of the Independent Associate or his/her Down line independent Associate.

If an Independent associate is using HPN Club's online premium services. He must have to pay the service charges as per HPN Club tariff.

If an Independent associate is earning good income from HPN Club and its services. He has to give time to HPN Club office as per HPN Club Policies, whichare amended time to time.

Your Declaration

I have carefully read and agree to comply with the terms and conditions/Policies and procedures as mentioned above. All information provided by me in this form is factually correct to the best of my knowledge and agree to abide by same.

By entering My PAN number on this Independent Associate Application and Agreement, I certify that this number is my correct tax payer identification number. I understand that any international misrepresentation of any information I provide in this Independent Associate Application and Agreement may result in action by HPN Club, up to and including termination of this Agreement.
